Charles Hoskinsonthe founder Cardanohas called Cardano Foundation To move to a jurisdiction that allows its users to elect board members.
He raised the issue on December 18 post on X's social media platform while encouraging the Cardano community to question the foundation's board structure and decision-making processes.
Cardano's founder expressed concern about the current arrangement, where the Swiss government appoints board members without community input. He also asked the community to inquire about people involved in the foundation's past decisions and its connection to Intersect.
Given this, Hoskinson criticized the foundation for staying in Switzerland rather than moving to places like Abu Dhabi or Wyoming that support more inclusive governance models.
According to Hoskinson, such a move allows the community to work with the foundation in a new structure that fosters transparency and member engagement. He stated:
The foundation should not be in Switzerland. There are many jurisdictions that allow different DLT foundations such as Abu Dhabi or Wyoming. The community can design a new structure with CF and CF can allocate funds to this structure.
Launching the Cardano Foundation
The Cardano Foundation, founded in 2016, operates under Swiss law, which does not allow community-based board elections. Foundation explained that:
“The foundation model is the legal form chosen in 2016 when the Cardano Foundation was established. If the goal was to create a membership-based model, the legal form of a Swiss association, like the one we used for PRAGMA, would be a more appropriate choice.
Meanwhile, Hoskinson's latest comments come as the organization continues to face criticism Governance issuesinternal conflicts, and the alleged marginalization of key contributors.
Despite efforts to improve transparency through open forums, calls for leadership restructuring persist. Currently, the foundation Programs to host a series of X Spaces where its senior leadership provides additional insight into issues related to its operations.
